These Terms of Service ("Terms") are a contract between you and Eucaliptus Trading Limited (BVI) ("AgentRex", "we", "us") governing your use of the AgentRex mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
01What AgentRex is
AgentRex is a booking concierge. You describe travel you want — flights, hotels, events, or experiences — to an in-app agent in plain language. The agent searches options from third-party travel providers and presents them to you. You choose an option and you confirm each purchase with a biometric confirmation before anything is booked or paid. AgentRex acts as an intermediary that helps you find and complete bookings; the travel itself is provided by the relevant airline, hotel, or operator under their own terms.
02Eligibility
You must be at least 18 years old, able to form a binding contract, and eligible to hold a payment card in your jurisdiction. You must complete the identity verification described below before you can be issued a card and make bookings.
03Your account & identity verification
- You sign in through our authentication provider using your email or phone number. You are responsible for keeping access to your account secure.
- To be issued a payment card, you must complete identity verification ("KYC") performed by our payments partner, as required by law. We may refuse or revoke access if verification cannot be completed or if we are required to do so.
- You agree to provide accurate, current information and to keep it up to date.
04Your wallet & payments
AgentRex uses a non-custodial model. A smart-contract wallet is created for you on a blockchain network and the funds in it are yours and under your control. We do not hold, control, or take custody of your funds or your private keys. Keys are managed non-custodially by our wallet provider. You are responsible for maintaining access to your account through which the wallet is controlled.
- Funding. You fund your own wallet. [Describe the supported funding method(s), e.g. transferring USDC to your wallet address.]
- Card & charges. Bookings are paid using a card issued by our payments partner and backed by your wallet. By confirming a booking, you authorise the charge for that booking. Our payments partner — not AgentRex — processes the payment and authorises it against your wallet balance.
- Sufficient balance. A booking may fail if your wallet does not hold sufficient funds at the time of confirmation. You are responsible for ensuring your wallet is funded.
05Fees
Chatting with the agent and searching is free. We charge a flat booking fee per confirmed booking, shown to you in the app before you confirm and added to the total you authorise. We may change our fees in future; changes will not apply to bookings you have already confirmed, and we will give notice of changes as required.
06Bookings, changes, cancellations & refunds
- When you confirm a booking, you enter into a contract with the relevant travel provider (airline, hotel, operator), subject to that provider's own terms, fare rules, and cancellation policies. Those terms govern changes, cancellations, refunds, baggage, check-in, and similar matters.
- AgentRex is not the travel provider and does not control their pricing, availability, schedules, or policies. We are not responsible for cancellations, delays, overbooking, or other acts or omissions of travel providers.
- Our booking fee follows the booking: if a booking is cancelled and refunded under the provider's policy within the applicable window, the AgentRex fee for that booking is refunded with it. [Confirm this matches your implemented refund behaviour.]
- Refunds from travel providers are processed under their policies and timelines, not ours.
07The AI agent — accuracy & your responsibility to review
The in-app agent uses automated and AI systems to interpret your requests and search options. While we aim for accuracy, automated systems can make mistakes or surface incomplete results. You are responsible for reviewing the details of any option — price, dates, times, names, and terms — before you confirm it. Confirmation is your decision; the agent never completes a purchase without it. Prices and availability shown are sourced from third-party providers and can change until a booking is confirmed.
08Acceptable use
You agree not to: use the Service for anything unlawful; attempt to use the agent for purposes other than finding and booking travel; circumvent security, rate limits, or verification; submit false information; infringe others' rights; or interfere with the Service's operation. We may suspend or terminate access for breach of these Terms or where required by law or our partners.
09Third-party services
The Service depends on third-party providers for authentication, wallet infrastructure, payments and card issuance, identity verification, travel inventory, and AI processing. Your use of those services through AgentRex may also be subject to their terms. We are not responsible for third-party services beyond our reasonable control, and their availability is not guaranteed.
10Beta / limited release
The Service is currently offered as a limited / beta release. It may contain bugs, change without notice, or be unavailable from time to time. Features may be added, changed, or removed. We provide the Service "as is" during this period to the fullest extent permitted by law.
11Disclaimers & limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
AGENTREX IS NOT LIABLE FOR THE ACTS, OMISSIONS, OR POLICIES OF TRAVEL PROVIDERS, PAYMENT PARTNERS, WALLET OR AUTHENTICATION PROVIDERS, OR OTHER THIRD PARTIES; FOR LOSSES ARISING FROM YOUR FAILURE TO SECURE YOUR ACCOUNT OR FUND YOUR WALLET; OR FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL LOSSES.
[INSERT A LIABILITY CAP AND ANY CARVE-OUTS. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW — INCLUDING, FOR UK/EU CONSUMERS, YOUR STATUTORY RIGHTS. A LAWYER MUST TAILOR THIS CLAUSE TO YOUR JURISDICTION AND CONSUMER-PROTECTION OBLIGATIONS.]
Nothing in these Terms limits your non-excludable statutory rights as a consumer.
12Indemnity

13Suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, legal or regulatory reasons, or risk to the Service or other users. [Describe what happens to an account on termination, and how a user can request account deletion — your internal notes flag deletion as currently a manual process.]
14Changes to these Terms
We may update these Terms. If changes are material, we will notify you in the app or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
15Governing law & disputes
These Terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales, without affecting any mandatory consumer-protection rights you have where you live. [Lawyer to confirm: this sets English law and venue for a BVI-incorporated entity. Verify this combination is appropriate and enforceable for your structure and your UK/EU user base, and add any dispute-resolution process before publication.]
